1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Moatwave Technologies Ltd ("Moatwave", "we", "our", or "us"), governing your access to and use of our website at moatwave.com and all associated products and services (collectively, the "Services").

By registering an account, clicking "I agree", or otherwise accessing our Services, you confirm that you are at least 18 years old, have the authority to bind the organisation you represent, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Moatwave provides a cloud-based business operating system designed for African small and medium-sized enterprises. The platform includes modules for human resource management, payroll processing, finance and accounting, inventory management, point-of-sale (POS) operations, staff scheduling, client and vendor management, AI-assisted analytics, and behavioural intelligence scoring.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Account Registration

To use our Services, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You agree to notify us immediately at hello@moatwave.com if you suspect any unauthorised access to your account. We are not liable for losses arising from unauthorised use of your account where you have failed to take reasonable precautions.

You may not create accounts for the purpose of abuse, impersonation, or any unlawful activity. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

Access to premium features requires a paid subscription. Pricing is available at moatwave.com/pricing. All fees are quoted in Nigerian Naira (NGN) unless otherwise stated and are exclusive of applicable taxes.

• Subscriptions are billed monthly or annually as selected at checkout.
• Annual plans are offered at a discounted rate compared to the equivalent monthly billing.
• Payments are processed securely by our payment provider. By providing payment details, you authorise us to charge your chosen payment method on a recurring basis.
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date through your billing dashboard.
• All fees paid are non-refundable except where required by applicable law or as stated in our refund policy.
• We reserve the right to adjust pricing with at least 30 days' notice, which will be communicated via email and in-app notification.

5. Free Trial

We may offer a free trial period for new accounts. During the trial, you have access to features as specified at sign-up. At the end of the trial, you must subscribe to a paid plan to continue using the Services. If you do not subscribe, your account will be suspended and your data will be retained for 30 days before deletion.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or transmit malicious code, viruses, or any content that is unlawful, harmful, threatening, abusive, defamatory, or obscene.
• Interfere with or disrupt the integrity or performance of our platform or servers.
• Attempt to gain unauthorised access to any system, account, or data that you are not permitted to access.
• Use the Services to process data of individuals without their consent or in violation of applicable data protection laws.
• Resell, sublicense, or commercialise access to the Services without our express written permission.
• Reverse-engineer, decompile, or disassemble any part of our software.

Violation of this section may result in immediate account termination and may be reported to law enforcement authorities.

7. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, source code, designs, trademarks, logos, and documentation, are owned by or licensed to Moatwave Technologies Ltd. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all data, content, and materials you upload to the platform ("Customer Data"). By uploading Customer Data, you grant us a limited, non-exclusive licence to store, process, and display that data solely to provide the Services to you.

8. Confidentiality

Each party agrees to treat the other's confidential information with at least the same degree of care it uses for its own confidential information, and not to disclose such information to any third party without prior written consent, except as required by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Moatwave shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the Services.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits our liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited under Nigerian law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Moatwave Technologies Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

You may terminate your account at any time by contacting us or using the account management tools in the platform. Upon termination, your right to access the Services ceases immediately.

We may suspend or terminate your account with immediate effect if you materially breach these Terms, become insolvent, or if we are required to do so by law. Where termination is not caused by your breach, we will provide at least 30 days' notice.

Following termination, we will retain your data for 30 days to allow you to export it, after which it will be securely deleted in accordance with our data retention policy.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be referred to mediation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and in-app notification at least 14 days before they take effect. Your continued use of the Services after that date constitutes acceptance of the revised Terms.
